Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("User," "you") and Zero Optimize Co., Ltd. ("Zero Optimize," "we"). By creating an account or using the Services, you accept these Terms. If you do not agree, do not use the Services.

2. Your Account

• You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
• You are responsible for maintaining the confidentiality of your password and for all activities under your account.
• You agree to provide accurate, current information and to update it as needed.
• One account per individual; sharing accounts is prohibited (except for Studio/Enterprise team seats).

3. Subscription & Billing

• Subscriptions are billed monthly or annually in advance, processed securely by Xendit (PCI-DSS Level 1 · ISO 27001). Zero Optimize Co., Ltd. is the merchant of record.
• You authorize automatic renewal until you cancel.
• Prices are in USD on the website. At checkout, Xendit converts to your local currency at a live exchange rate. Zero Optimize Co., Ltd. is registered for Thai VAT 7% and charges applicable local tax (VAT, GST, SST) in each jurisdiction.
• You can cancel anytime from your dashboard. Access continues until the end of the paid period.
• 14-day free trial for first-time subscribers; no charge if cancelled before trial ends.

4. License & Intellectual Property

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal use.

• You retain all rights to the project data you input. We claim no ownership of your designs.
• The Service, including the calculation engine, UI, and trademarks (Zero Optimize, the Z mark), are owned by Zero Optimize and protected by IP laws.
• You may not reverse-engineer, copy, or resell the Service.

5. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes or violate any applicable law.
• Resell, sublicense, or redistribute the Services without written permission.
• Reverse-engineer, decompile, or attempt to extract the calculation engine.
• Upload malicious code, attempt unauthorized access, or interfere with infrastructure.
• Use the Services to compete with Zero Optimize or build a similar product.

6. Disclaimers & Engineering Warranty

The Services are provided "as is" without warranties of any kind, express or implied. Zero Optimize's calculation engine implements ASHRAE CLTD/CLF and OTTV equations to industry standards, but:

• Output is for design guidance only, not engineering certification.
• You must verify all results with a licensed professional engineer or architect before submitting permit applications, signing construction documents, or making financial decisions.
• Zero Optimize is not liable for permit rejection, construction defects, or economic losses arising from engineering decisions.
• Climate data (Design Temperature, humidity) is sourced from publicly available regional weather records and may differ from real-world site conditions.

7. Limitation of Liability

To the maximum extent permitted by law, Zero Optimize's total liability arising out of or related to the Services shall not exceed the amount you paid in the 12 months preceding the claim, or USD 100, whichever is greater.

Zero Optimize shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.

8. Indemnification

You agree to indemnify and hold harmless Zero Optimize, its founders, employees, and partners from any claims, damages, or expenses arising from (a) your use of the Services in violation of these Terms; (b) your violation of any law or third-party right; or (c) any project decision made based on Service output without independent professional verification.

9. Termination

• You may terminate at any time by cancelling your subscription and deleting your account.
• We may suspend or terminate accounts that violate these Terms with reasonable notice (or immediately for severe violations).
• Upon termination: your access ends; we retain billing records as required by law; project data is deleted within 30 days unless you export it.

10. Governing Law & Disputes

These Terms are governed by the laws of Thailand, without regard to conflict-of-law principles. Any dispute shall be resolved in the courts of Bangkok, Thailand. EU consumers retain rights under their local consumer protection laws.
